Terms of Service

These terms govern access to CMG Nexus, including tenant workspaces, buyer portals, field apps, reports, AI-assisted workflows, document exports and accounting-provider integrations.

1. Service role

CMG Nexus provides commercial operations software for B2B ordering, customer management, catalogues, field sales, routes, KPI visits, receivables, documents, reporting, warehouse support and accounting-provider sync.

CMG Nexus is not a tenant's accounting system, tax adviser, legal adviser, payment collector, employment supervisor or finance department. Tenants remain responsible for their accounting records, tax treatment, staff instructions, customer communications, credit decisions and business approvals.

2. Accounts, tenants and permissions

Each tenant is responsible for deciding who may access its workspace and what each user may do. Users must keep credentials secure and must not share accounts. Tenant administrators are responsible for promptly removing access when a user no longer needs it.

Buyer portal users, sales representatives, drivers, managers, finance users and administrators may see different data based on the tenant's configuration and their role.

3. Accounting-provider boundary

Connected accounting providers such as Xero, MYOB, QuickBooks or other configured systems remain the source of truth for accounting data. CMG Nexus may read, analyse, display and report on authorised provider data. Where enabled, CMG Nexus may submit operational documents such as orders, draft quotes, draft invoices or authorised invoices to the tenant's selected provider.

The tenant must review provider permissions, tax settings, invoice numbering, customer mappings, item mappings, payment settings and approval rules before relying on any connected workflow. Provider rate limits, outages, webhook delays or sync errors may delay or affect data freshness.

4. Credit notes, refunds and critical actions

Credit note, refund, payment allocation, write-back and similar finance-sensitive workflows are available only where the tenant has enabled them and the acting user has explicit permission. CMG Nexus may require additional approval gates for these actions.

Critical actions are logged with available details such as tenant, user, role, timestamp, IP address, user agent, affected entity, request payload summary, provider response and result. Logs are used for security, auditability, dispute investigation and platform integrity.

5. Data, sync, exports and AI-assisted workflows

Reports, dashboards, exports, AI suggestions and automation outputs are decision-support tools. They may depend on provider data, tenant configuration, sync timing and user-entered information. Tenants should verify important figures against their accounting provider before making financial, tax, legal or employment decisions.

AI-assisted recommendations must be reviewed by an authorised human user before any consequential operational, finance or customer-facing action is taken.

6. Acceptable use

Users must not:

  • attempt to bypass role permissions, approval gates, rate limits or security controls;
  • upload unlawful, misleading, malicious or unnecessary sensitive material;
  • use CMG Nexus to create false records, manipulate customer balances or conceal business activity;
  • interfere with the platform, integrations, tenants or other users;
  • use the service in a way that breaches applicable law or third-party provider terms.

7. Consumer rights and liability

Nothing in these terms excludes, restricts or modifies any guarantee, warranty or right that cannot be excluded under the Australian Consumer Law or other applicable law.

To the maximum extent permitted by law, CMG Nexus is not liable for indirect, consequential, special or loss-of-profit damages, or for losses caused by inaccurate tenant data, provider outages, provider rate limits, unauthorised tenant users, incorrect tenant configuration, or decisions made without appropriate human review.

Where liability cannot be excluded but can be limited, our liability is limited to the resupply of the service, the cost of resupplying the service, or the fees paid for the affected service during the previous three months, whichever is permitted by law and is most appropriate in the circumstances.

8. Suspension, termination and governing law

We may suspend access where necessary to protect the platform, comply with law, prevent misuse, respond to unpaid fees or prevent harm to a tenant, provider or user.
